Instructions for the Virtual Annual Meeting
Participating in the Virtual Meeting.
The 2024 Annual Meeting of Stockholders will be held in a virtual meeting format only. There will be no physical meeting location for stockholders to attend the Meeting. A virtual meeting format offers the same participation opportunities as those opportunities available to stockholders at in-person meetings. Stockholders will be able to listen, vote and submit questions. To participate in the Meeting, visit www.virtualshareholdermeeting.com/CPK2024 using your desktop or mobile device and enter your name and the control number included on your Notice of Internet Availability of Proxy Materials ("Notice of Proxy Materials") or proxy card. Once you log in to www.virtualshareholdermeeting.com/CPK2024 and enter the control number included on your Notice of Proxy Materials or proxy card, you may submit questions until the adjournment of the Meeting. Only questions pertinent to matters related to the Meeting will be answered during the Meeting, subject to time constraints. Management will respond to any questions pertinent to matters related to the Meeting that cannot be answered during the Meeting due to time constraints either telephonically or by email communication after the Meeting. The virtual platform for the Meeting is supported across numerous browsers. The Meeting will begin promptly at 9:00 a.m. Eastern Time on May 8, 2024. If you need technical assistance with the meeting platform when logging into the Company's virtual Meeting or prior to adjournment of the Meeting, please call the dedicated technical support number provided at www.virtualshareholdermeeting.com/CPK2024. Representatives will be available beginning at 8:45 a.m. Eastern Time on Wednesday, May 8, 2024. A recording of the Meeting will not be available after the adjournment of the Meeting.
Additional Information for Stockholders Receiving a Notice of Internet Availability of Proxy Materials
Chesapeake Utilities Corporation has adopted the Notice & Access method of distribution for our 2024 Virtual Annual Meeting materials. Please read the questions and answers below for an explanation of this process.
Why am I receiving a Notice of Internet Availability of Proxy Materials this year?
Pursuant to the SEC's “Notice and Access” proxy rules, companies are permitted to send a “Notice” to Stockholders instead of a full printed set of proxy materials. The Notice gives you instructions on how to view Chesapeake Utilities Corporation’s proxy materials and vote online, or how to receive a full set of printed materials by mail. There are several advantages to sending a Notice instead of a full set of materials, which include lowering the Company’s printing and mailing costs as well as reducing the environmental impact from printing and mailing full sets of proxy materials.
How do I view the proxy materials online?
Go to www.proxyvote.com and follow the instructions. You will need to enter the control number that can be found on the Notice you received by mail.
What if I prefer to receive a paper copy of the proxy materials?
You can easily request a paper copy of the proxy materials, which will be mailed to you at no cost. Instructions on how to order a paper copy can be found in the “Get informed before you vote” section of the Notice.
Can I request to receive my proxy materials for future meetings by e-mail rather than receive a Notice?
Yes you can. Go to www.proxyvote.com and select “Email” in the Delivery Settings section.
